Direct Spotlight Publishing provides advertising, marketing, and co-op direct mail services. While we strive for accuracy, services are subject to final capacity and modification without notice.
Mailer Commitment: We commit to the printing and delivery of the oversized co-op mailer to the agreed-upon 10,000 carrier routes in the designated market (e.g., Lakewood Ranch). We do not guarantee specific response rates, customer acquisition, or results.
Clients agree to provide accurate, complete, and timely information and materials (e.g., ad copy, logos) necessary for project completion and adherence to the print schedule. You are responsible for ensuring your supplied content complies with all applicable laws and does not infringe on any third-party intellectual property rights.
Payment terms will be outlined in a detailed invoice. Payment in full is required prior to the commencement of final print production and mail house processing.
Non-Refund Policy: All payments for reserved advertising slots and print services are strictly non-refundable. This is due to the immediate, non-reversible commitment of funds required for printing (custom production) and postage (pre-payment to USPS) necessary to secure your placement and ensure the mailer's delivery. Failure to adhere to payment terms will result in the suspension or termination of the service without refund.
Upon full payment, the client receives ownership and usage rights of their final, specific ad design and associated materials. Direct Spotlight Publishing retains ownership of any preliminary concepts, proprietary templates, and production files. We reserve the perpetual, non-exclusive right to use the completed ad and project for internal promotion and display on our website/portfolio.
While we strive to ensure the continuous availability of our services and website, Direct Spotlight Publishing is not responsible for service delays, downtime, or technical issues beyond our control, including but not limited to those caused by the United States Postal Service (USPS), power outages, or vendor failures.
Direct Spotlight Publishing is not liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits or business interruption) arising from the use or inability to use our services. Our maximum liability under any circumstances is strictly limited to the net amount paid by the customer for the specific advertising slot in question.
You agree to indemnify, defend, and hold harmless Direct Spotlight Publishing, its affiliates, employees, directors, and officers from any claims, losses, liabilities, or expenses (including reasonable attorney's fees) arising out of or related to your breach of these Terms, your misuse of the services, or any claims related to the content you provide.
Either party may terminate the agreement for any reason with written notice. There will be no refunds for services already rendered, reserved, or paid for, given the advance costs associated with print production and postage reservation.
We may update these T&Cs from time to time. Changes will be effective immediately upon publication on our website. Continued use of our services constitutes acceptance of the new terms.
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action or proceeding related to these T&Cs shall be instituted exclusively in the appropriate state or federal courts located in Sarasota County, Florida.
